These Terms and Conditions (the “Terms”) are an agreement between you and GIU USA All Services LLC, a Florida limited liability company (“GIU”, “we”, “us”). They apply when you use giujunkcars.com (the “Site”), request an offer, contact us, or sell a vehicle to us. By doing any of these things, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site or our services.

Important: Section 16 contains an agreement to resolve disputes by individual arbitration and a class action waiver. You can opt out as explained in Section 16.6.

1. What we do

We buy unwanted, damaged, non-running and end-of-life vehicles directly from their owners in Central Florida. We pick them up with our own tow truck at no cost to the seller, pay in cash at pickup, and deliver the vehicles to salvage yards, recyclers or other buyers. We do not sell vehicles or parts to the public, and we never charge sellers a fee.

2. Who can sell to us

To sell us a vehicle, you must:

3. Online offers

3.1 The price shown on the Site is an estimate calculated automatically from the answers you give. It is not a final offer. It becomes a confirmed offer only when we confirm it with you by text message, phone or email.

3.2 Some vehicles (for example, newer vehicles that run) receive a personalized offer instead of an automatic price. We may ask for photos before we confirm any offer.

3.3 Scrap and vehicle prices change often. An offer that has not been accepted and scheduled within 7 days may be updated. Before pickup, we may correct an offer that contains an obvious error (for example, a wrong price caused by a technical problem or a typo).

3.4 We may decline to make an offer or to buy any vehicle for any lawful reason, including vehicles outside our service area (about 60 miles from Orlando).

3.5 An offer applies only to the vehicle described, at the location you gave us, and only to the vehicle's legal owner or the person legally authorized to sell it.

4. Inspection at pickup and price changes

4.1 When we arrive, we inspect the vehicle before paying. Your offer depends on the vehicle being as you described it, including: year, make and model; whether it starts and drives; whether the engine, the transmission, all wheels and the original catalytic converter are present; the title situation; and any flood, fire or other major damage.

4.2 If the vehicle is different from what you described, we will show you what is different, and we may offer an adjusted price or decline to buy the vehicle. You are free to accept or reject an adjusted price. If you reject it, or if we decline, the transaction ends, we leave the vehicle where it is, and you owe us nothing.

4.3 You may cancel at any time before we pay you, at no cost.

5. Title, ownership and paperwork

5.1 You must give us the vehicle's title, properly signed over to the buyer, together with any other documents that Florida law requires. Any lien shown on the title must be released and documented (for example, with a lien release from the lender) before we can buy the vehicle.

5.2 If the title is in someone else's name, the titled owner must sign it, or you must show legal documents that authorize you to sell the vehicle (for example, a power of attorney, or probate or estate documents if the owner has died).

5.3 If you do not have a paper title (for example, because it is electronic or lost), we review your case before pickup. We buy the vehicle only if Florida law allows it and you give us acceptable proof of ownership. You may first need to request a paper or duplicate title from the Florida Department of Highway Safety and Motor Vehicles (FLHSMV) or your county tax collector.

5.4 We do not buy stolen or abandoned vehicles, vehicles that someone else left on your property, vehicles subject to repossession, impound or a court order, or vehicles you bought but never titled in your name (“title jumping”). For an abandoned vehicle, contact your local law enforcement agency.

5.5 We may record the information on the title and on your photo ID, and keep copies of the signed documents, to complete the sale, prevent theft and fraud, and comply with Florida law. The salvage yard or recycler that receives the vehicle may also be required by law to record this information.

5.6 If you ask, we can sign a bill of sale at pickup (for example, the bill of sale section of Florida form HSMV 82050).

6. Your promises to us

When you request an offer or sell us a vehicle, you promise that:

7. Payment

7.1 We pay in cash at pickup, after we inspect the vehicle and receive the signed title and documents. We pay only the legal owner or the person legally authorized to sell.

7.2 The sale is final once you receive the payment and sign the title. From that moment, the vehicle belongs to us.

7.3 We never charge sellers for towing or for anything else. If anyone asks you for money on our behalf, do not pay, and contact us.

8. Before pickup

Please:

We are not responsible for items left in the vehicle after we pay for it and tow it. Items left inside may be lost, recycled or destroyed and cannot be recovered.

9. After the sale

To protect yourself, we recommend that you:

You remain responsible for tolls, tickets, fees and other charges related to the vehicle from before the sale.

10. Scheduling and towing

10.1 We work Monday to Saturday, 24 hours a day. We try to arrive on the day and at the time we agree, but we cannot guarantee an exact time. Traffic, weather, road closures, equipment problems or safety concerns may delay or change a pickup. If that happens, we will let you know by text or phone.

10.2 Tell us in advance about anything that could make the pickup unsafe or cause damage (for example, soft or wet ground, low branches, gates, narrow driveways, or parking or HOA rules). We are not responsible for minor marks on grass, soil or unpaved surfaces that are normal during a tow, or for damage caused by conditions you did not tell us about. We may refuse a pickup that we believe is unsafe.

11. Calls and text messages

11.1 When you enter your phone number on the Site, text us, or give us your number in any other way, you agree that GIU USA All Services LLC may call you and send you text messages (SMS/MMS, and WhatsApp if you use it) at that number about your offer, your vehicle, a better or personalized offer, scheduling, pickup, payment and related follow-up.

11.2 Agreeing to receive calls or texts is not a condition of selling us a vehicle. You can call us instead.

11.3 Message frequency varies. Message and data rates may apply. Reply STOP to stop text messages at any time; you may receive one last message confirming it. Reply HELP, call or email us for help. Wireless carriers are not liable for delayed or undelivered messages.

11.4 If you change or give up your phone number, please let us know.

11.5 We do not sell or share your phone number, or your consent to receive text messages, with other companies for their marketing.

12. Reviews, photos and messages you send us

12.1 Reviews must be honest and about your own experience with us. Only send photos that you took or that you have the right to share.

12.2 When you send us a review or photos with permission to publish them, you give us a non-exclusive, royalty-free, worldwide license to publish, display and reproduce them on the Site and on our business profiles, and to crop them or hide personal information such as license plates. You keep ownership of your content, and you can ask us to remove your review at any time.

12.3 We publish reviews whether they are positive or negative. We decline or remove only reviews that are not about our service, that contain offensive or unlawful content or other people's personal information, or that we reasonably believe are false or not written by a real customer.

13. Use of the Site

You agree not to: give false information; request offers for vehicles you do not own or are not authorized to sell; use the Site for fraud or any illegal purpose; send spam or harmful code; or try to interfere with the Site, its forms or its security. We may block or ignore requests that break these rules.

The Site, including our name, logo, texts, design and images, belongs to GIU USA All Services LLC or is used with permission. You may not copy it for commercial purposes without our written permission.

Links to other websites (for example, Google, WhatsApp or government websites) are provided for your convenience. We are not responsible for their content or practices.

14. Disclaimers

The Site and its information are provided “as is” and “as available”. We work to keep the Site accurate and available, but we do not guarantee that it will be free of errors or interruptions. General information on the Site about titles, plates, notices of sale and other government requirements is not legal advice; for your specific situation, check with the FLHSMV, your county tax collector or a lawyer. To the fullest extent allowed by law, we disclaim all implied warranties.

15. Limitation of liability and indemnity

15.1 To the fullest extent allowed by law, GIU USA All Services LLC and its owners, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, arising from the Site or our services. Our total liability for any claim related to a vehicle, an offer or the Site will not exceed the amount we paid, or offered to pay, for the vehicle involved.

15.2 Nothing in these Terms limits any liability that cannot be limited under Florida law, including liability for gross negligence or intentional misconduct.

15.3 You agree to defend, indemnify and hold harmless GIU USA All Services LLC from claims, losses and costs (including reasonable attorney's fees) arising from false information you gave us, your lack of ownership of or authority to sell a vehicle, liens or third-party claims on the vehicle, items you left in the vehicle, or your violation of these Terms or the law.

16. Dispute resolution: arbitration and class action waiver

16.1 Talk to us first. Most problems can be solved quickly. Before starting any claim, contact us at giuallservices@gmail.com or with your name, your phone number, a description of the problem and what you are asking for. You and we will try in good faith to resolve it within 30 days.

16.2 Binding arbitration. If we cannot resolve it, you and GIU agree that any dispute, claim or controversy arising out of or relating to these Terms, the Site, an offer, the purchase of a vehicle, or calls or text messages (a “Dispute”) will be resolved by binding individual arbitration and not in court, except as stated in Section 16.3. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at adr.org). The arbitrator may award the same individual relief that a court could award. Unless you and we agree otherwise, any hearing will take place in the county where you live or where the vehicle was picked up, or by phone or video. Fees will be paid as provided in the AAA Consumer Arbitration Rules. The Federal Arbitration Act governs this Section 16.

16.3 Small claims court. Instead of arbitration, either you or we may bring an individual claim in a Florida small claims court, if the claim qualifies.

16.4 Class action waiver. You and we agree that each of us may bring claims against the other only individually, and not as a plaintiff or class member in any class, collective or representative action. The arbitrator may not combine the claims of more than one person. If this class action waiver is found unenforceable for a claim, the arbitration agreement will not apply to that claim, and that claim must be decided in court.

16.5 Jury trial waiver. To the extent allowed by law, you and we waive any right to a jury trial for any Dispute decided in court.

16.6 How to opt out. You can opt out of this arbitration agreement within 30 days after you first accept these Terms (for example, by requesting an offer) by sending an email to giuallservices@gmail.com with the subject “Arbitration opt-out”, your name and your phone number. Opting out does not affect any other part of these Terms.

17. Governing law and venue

These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law rules. For any Dispute that is not subject to arbitration, you and we agree to the exclusive jurisdiction of the state courts located in Orange County, Florida, or the United States District Court for the Middle District of Florida, Orlando Division.

18. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top shows when they last changed. Changes apply to offers requested and sales made after the update. Changes to Section 16 will not apply to a Dispute that we already knew about before the change.

19. Other terms

If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a provision, that is not a waiver. These Terms, together with our Privacy Policy and any written confirmation of your offer, are the entire agreement between you and us on these subjects. You may not transfer your rights under these Terms. These Terms are available in English and Spanish; if the two versions differ, the English version controls.

16.4 Renuncia a demandas colectivas.
